Terms of Sale

By purchasing a festival ticket and attending the Tahoe Yoga Festival (the “Event”), the Participant

agrees to and accepts the terms of this Agreement. If this ticket was purchased by a third party on

behalf of the Participant, Participant acknowledges and agrees that the purchaser of the ticket has the authority to enter into this Agreement on Participant’s behalf.

TAHOE YOGA FESTIVAL – PARTICIPANT RELEASE OF CLAIMS

By purchasing this ticket and attending the Event, Participant (or Participant’s agent who has purchased the ticket on behalf of Participant and has authority to execute this release on Participant’s behalf) hereby executes this waiver and release (the “Agreement”) effective as of the date Participant’s ticket is purchased.

OMNI Tahoe Inc. (referred to collectively herein as “OMNI”), is producing the Event at Heavenly Ski Resort which will include, but is not limited to, the following activities: yoga, hiking, meditation, fitness classes (barre or HIIT), breath work, aerial, dancing, chi gong and cacao ceremonies. Other activities may also be offered at the Event and there may be some off-site activities offered in connection with the Event as well through partners and/or affiliates of OMNI such as paddle boarding, biking and other activities. All of the activities that may be offered at the Event or off-site by affiliate partners are referred to herein as the “Activities” or the “Activity”. By purchasing this ticket and attending the Event, Participant represents and warrants that they are aware of the potential dangers involved in the Activities that will be offered at the Event. In consideration of Participant’s participation in the Activities, Participant agrees as follows:

Participant hereby releases Jessica Broyles, OMNI, the owners of any venue at which the Event is held, and all of Ms. Broyles’, OMNI’s and the venue’s respective officers, directors, employees, agents, shareholders, members, agents, contractors, representatives, sponsors, heirs, instructors, affiliates, partners for the Event, volunteers, successors, and assigns (the “Released Parties”) from any and all claims, demands, damages, rights of action, or causes of action, arising out of Participant’s participation in any Activity at the Event.

Participant represents that they know and understand the scope, nature, and extent of the risks involved in the Activities. The Activities may require physical exertion, which may be strenuous and could, in some circumstances, result in injury, including, but not limited to, abnormal blood pressure, fainting, heartbeat disorders, physical injury, and heart attack. Participant is aware that the Activities will be taking place at high altitude, at a minimum of 6,250 feet above sea level and possibly even higher elevations at Heavenly Ski Resort. If Participant experiences any physical pain or discomfort, Participant agrees to immediately discontinue the Activity and seek medical help. Participant voluntarily, freely and expressly chooses to incur all risks associated with any Activity, understanding that those risks may include personal injury, damage to property, and/or death.

Participant represents and warrants that they are in good physical condition and have experience

engaging in the Activities being offered. Participant understands that the Released Parties will not be providing medical evaluations of Participant’s physical fitness prior to Participant engaging in any of theActivities. The Released Parties are fully relying on Participant’s representations that they are in appropriate physical condition to engage in the Activities that are being offered.

If an emergency or other incident occurs in which, in the sole judgment of the Released Parties or medical personnel, requires medical treatment or care, Participant hereby consents to such treatment. Participant understands and agrees that any and all medical treatment rendered to Participant by, or at the request of, any Released Party is not an admission of obligation to provide, or continue to provide, any such medical treatment and also is not a waiver by any Released Party of any right under this Agreement. Participant is responsible for the cost of any medical services provided to Participant even if Participant is having a medical episode or medical event that prevents Participant from communicating with medical personnel regarding any treatment that is being rendered.

Participant represents and warrants the following: (a) you have read this Agreement and understand it; and (b) you are at least 18 years of age, are in good health, and have no physical ailments that might cause you harm during your participation in any Activity, even those that are done at a high altitude.

This Agreement extends and applies to all unknown, unforeseen, unanticipated, and unsuspected

injuries, damages, loss, and liability, and the consequences of them, as well as those disclosed or knownto exist. Participant expressly waives all provisions of any state, federal, local, or territorial law or statute which provides that releases will not extend to claims, demands, injuries, or damages that areunknown or unsuspected to exist at the time to the person executing the release.

Participant further authorizes Released Parties, their assignees, licensees, legal representatives and

transferees to use and publish (with or without your name, company name, or with a fictitious name)

any audiovisual recordings, photographs, pictures, portraits or images captured at or around the Event in any and all forms and media and in all manners, including, but not limited to, composite images and distorted representations, for the purposes of publicity, illustration, commercial art, advertising, publishing (including publishing in electronic form or on Internet websites) for any product or services, or for such other lawful uses as may be determined by Released Parties. Participant waives any and all right to review or approve any uses of your name, likeness, images, written copy, or finished product.

This agreement is legally binding upon Participant and their heirs, estate, assigns, legal guardians, and personal representatives.

By entering into this agreement, Participant knowingly and voluntarily waives any and all rights they

might have to a trial before a jury, and agrees to mandatory binding arbitration of all disputes or claims arising out of this Agreement in El Dorado County, California.

If any provision of this Agreement is for any reason held to be invalid or unenforceable, such invalidity or unenforceability will not affect any other provision of this Agreement, and this Agreement will be construed as if such invalid or unenforceable provision were omitted.

Refund Policy; This Event will take place rain, wind, smoke or shine and your ticket is non-refundable and not transferable. In the event of inclement weather that impacts the Heavenly Mountain Gondola

operations, the Event will be moved to California Base Lodge at 3860 Saddle Rd, South Lake Tahoe CA 96150. If you received a gondola sightseeing ticket with your purchase and the Event is relocated to the California Base Lodge, you can request a partial refund for the cost of the gondola ticket. To request your partial refund due to inclement weather and Event relocation please email Hello@omnitahoe.com with a copy of your ticket and allow 45 days for your partial refund to be processed.

This Agreement constitutes a release of liability. Cancel your purchase if you do not understand or do not agree with the terms of this Agreement. By purchasing a festival ticket and clicking the box, you hereby accept and agree to all terms of this Agreement on behalf of yourself and any person for whom you are purchasing a ticket.
